1. Overview
These Terms of Use (“Terms”) govern your access to and use of the Drops platform, services, applications, and associated products, including any cloud or enterprise solutions provided by Drops ("Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not access the Services.
2. Scope of Services
2.1 Definition of Services: Drops offers customizable deposit return solutions for businesses and consumers, enabling impactful deposits, reminders for returns, EPR compliance tracking, supply chain optimizations, and reporting.
2.2 Service Availability: Drops provides services via point-of-sale integrations, cloud-based solutions, and partner recycling centers to streamline the deposit-return ecosystem.
3. User Subscriptions
3.1 Grant of License: Drops grants users a non-exclusive, non-transferable, and revocable right to access the Services during the subscription term as outlined in your agreement.
3.2 Access Restrictions: Users may not sublicense, transfer, or distribute access without explicit permission from Drops.
4. User Obligations
4.1 Prohibited Activities: Users must not:
(a) Use Services for unlawful purposes.
(b) Introduce harmful software, including viruses.
(c) Attempt to reverse-engineer, decompile, or modify any Drops software.
4.2 Data Accuracy: Users are responsible for providing accurate information and complying with applicable laws in their jurisdiction.
5. Intellectual Property
All intellectual property, including but not limited to software, trademarks, logos, and designs, remains the property of Drops or its licensors. Use of the Services does not transfer any intellectual property rights.
6. Privacy and Data Use
6.1 Privacy Policy: All personal data is managed in accordance with Drops’s Privacy Policy, available at www.drops.eco/privacy.
6.2 User Data: Drops reserves the right to anonymize and aggregate user data to improve services and generate insights, in compliance with applicable privacy laws.
7. Service Availability and Maintenance
Drops strives to maintain continuous service availability but reserves the right to perform scheduled or emergency maintenance. Users will be notified in advance of planned downtime.
8. Third-Party Services
The Drops platform may integrate or interact with third-party services. Drops is not liable for any issues arising from third-party products or terms.
9. Termination
Drops reserves the right to terminate access to Services if users breach these Terms or applicable laws.
TERMS OF SALE
1. Governing Terms
1.1 Scope: All sales and subscriptions are subject to:
(a) A written agreement between Drops and the customer.
(b) These Terms of Sale, including applicable terms for cloud and as-a-service offerings.
1.2 Exclusions: These terms take precedence over conflicting terms in any customer-submitted documentation unless expressly agreed otherwise.
2. Pricing and Payment
2.1 Pricing: Pricing is valid for 30 days unless otherwise stated and is subject to verification upon receipt of a purchase order.
2.2 Payment Terms: Payment is due as per the invoice or agreement. Non-payment may result in suspension or termination of services.
3. Taxes and Freight
3.1 Taxes: Customers are responsible for applicable taxes unless valid exemption documentation is provided.
3.2 Freight: Freight charges are estimates; actual costs will appear on the invoice. Additional charges apply for expedited shipping.
4. Technical Support
Technical support is provided under Drops’s support policies, available at www.drops.eco/support/policies. Drops reserves the right to update these policies, ensuring no reduction in paid service levels during the applicable term.
5. Software Licenses
Use of Drops software is governed by license terms at www.drops.eco/license. Third-party software is subject to the terms of their respective providers.
6. Resale Terms
Customers reselling Drops products must include relevant terms in end-user agreements and provide evidence of compliance upon request.
7. Liability
Drops is not liable for damages resulting from misuse, unauthorized modifications, or external factors affecting service performance. Liability is limited to the amount paid for services within the past 12 months.
8. Force Majeure
Drops is not responsible for failure to fulfill obligations due to events beyond its control, such as natural disasters, strikes, or government actions.
DEFINITIONS
Drops: Refers to the company offering the Services.
Customer: The entity entering into an agreement with Drops for the use of Services.
Services: The deposit return solutions, applications, and associated software provided by Drops.
Subscription Term: The agreed period during which Drops provides access to the Services.
Authorized Users: Individuals authorized to access the Services on behalf of the Customer.
